1. Commercial Entity Binding & Scope
This Master Software License and Services Agreement ("Agreement") constitutes a legally binding contract between Qlickz AI Solutions ("QlickZ", "Company", "We", "Us", or "Our") and the individual, event agency, rental business, or corporate entity ("Operator", "Licensee", or "Customer") downloading, installing, activating, or connecting any physical hardware station or cloud interface to the QlickZ AI Video & Photobooth Suite (the "Service").
If you access or operate the platform on behalf of a company or commercial partnership, you represent and warrant that you possess full legal authority to bind said organization to these terms.
2. Multi-Terminal Licensing & Hardware ID (HWID) Allocation
- Base Fleet Allowance: Every standard account authorization includes concurrent commercial operation across up to two (2) simultaneous hardware terminals (Windows PC desktop kiosks and/or Android tablet stations).
- Fleet Scalability (Max 5 Terminals): Operators may scale their hardware allotment up to a maximum of five (5) simultaneous devices under a single unified account by adding terminal extension slots (₹999/year or ₹99/month per additional station).
- Cryptographic HWID Binding: Each physical station computes a unique cryptographic Hardware Identifier (HWID) derived from system motherboards, CPU silicon, and hardware attributes. Stations are authorized and bound atomically via secure licensing protocols.
- 72-Hour Offline Resiliency Lease: To ensure live high-profile wedding receptions and galas never freeze during venue internet brownouts, local kiosks cache an encrypted rolling 72-hour cryptographic lease (
license.dat). Active sessions continue uninterrupted without cloud ping dependencies.
3. AI Compute Generation Credits & Economics
Real-time AI style transformations and prompt renderings utilize metered cloud AI processing services. Inference requests are debited against the Operator’s unified **Credit Balance**.
- Account-Centric Shared Pool: All authorized hardware stations linked to the account draw concurrently from the shared credit balance in real time.
- Perpetual Non-Expiry Guarantee: Purchased AI generation credits never expire and remain secured in your encrypted cloud account ledger indefinitely, even if platform subscriptions temporarily lapse.
4. License Restrictions & Anti-Reverse-Engineering
Licensees are granted a revocable, non-exclusive commercial operational license and shall not under any circumstance:
- Decompile, disassemble, reverse-engineer, unpack, or extract source code from QlickZ application binaries, JavaScript bundles, or compiled application packages;
- Interprete, spoof, manipulate, or replay encrypted API telemetry between local kiosk terminals and cloud server endpoints;
- Sub-license, resell, or distribute raw API tokens or hardware station slots to unauthorized third parties;
- Attempt concurrent station spoofing or bypass cryptographic license tokens.
5. Intellectual Property & Output Ownership
- Platform Intellectual Property: Qlickz AI Solutions retains sole and exclusive ownership of all software architecture, proprietary UI overlays, CAS sharpening post-processing algorithms, API routing layers, and technical documentation.
- Commercial Output Ownership: As between QlickZ and the Operator, the Operator or their event clients retain 100% of all right, title, and commercial ownership in the finalized synthesized event photographs, customized print strips, and digital renders produced by the booth.
- Master Prompt Catalogs: Built-in style concepts and curated template reference assets provided in the QlickZ library are licensed non-exclusively for execution via the platform.
6. Cloud AI Inference & Probabilistic Disclaimers
QlickZ routes AI generation tasks to enterprise neural diffusion networks. Deep-learning generative diffusion operates probabilistically. While QlickZ applies advanced local sharpening and face enhancement filters, QlickZ does not warrant 100% photorealistic identical replication under substandard event lighting, occluded guest faces, or improper camera focal lengths.
7. Limitation of Liability & Consequential Loss Waiver
To the maximum extent permitted by applicable law, in no event shall Qlickz AI Solutions, its founders, directors, or developers be liable for any indirect, incidental, special, or consequential damages (including loss of event booking revenues, client contract cancellation penalties, local printer hardware damages, venue Wi-Fi stalls, or third-party AI cloud outages).
Total cumulative aggregate liability under any contract, tort, or statutory claim shall not exceed the total fees actually paid by the Operator to QlickZ in the one (1) month immediately preceding the claim.
8. Operator Warranties & Guest Consent Obligations
The Operator warrants that it operates the interactive booth in strict compliance with applicable privacy and event safety laws. The Operator is solely responsible for presenting on-screen guest privacy notices and obtaining appropriate likeness permissions from guests prior to capturing and styling event images.
9. Governing Law & Dispute Jurisdiction
This Agreement shall be governed by, construed, and enforced in accordance with the substantive laws of India. Any dispute, claim, or controversy arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the competent courts located in Bangalore, Karnataka, India.
