1. Acceptance of Terms

By purchasing a software license key, utilizing our API credit recharges, downloading the installer files, or using QlickZ software, you agree to comply with and be bound by these Terms & Conditions. If you do not agree to these terms, do not download or use the software.

2. License Grant

QlickZ grants you a non-exclusive, non-transferable, revocable, annual license to install and run the QlickZ Kiosk software client on your standalone hardware devices (kiosks) strictly in accordance with your chosen pricing tier:

• Mother Kiosk License: Restricts usage to a maximum of two (2) connected devices.
• Subscription License: Allows connection of devices subject to your account capacity limits and active billing status.

3. AI Credit Usage & API Limitations

Processing of customized AI makeovers requires the utilization of QlickZ AI Credits. Each credits pack purchased corresponds to the right to process a set number of AI visual makeovers. You agree that:

• AI processing is subject to third-party provider availability and processing thresholds.
• Concurrent request locks are enforced. Attempting to bypass credit validation checks or exploiting API concurrency rules will result in immediate termination of the license key without refund.

4. Limitation of Liability & AI Challenges Disclaimer

QlickZ software utilizes highly complex generative Artificial Intelligence models and networks. Due to the inherent unpredictable nature of generative technologies, we do not guarantee specific rendering results, uptime benchmarks, or consistency in facial makeovers.

MAXIMUM LIABILITY: Under no circumstances shall QlickZ, its directors, developers, or affiliates be liable for any direct, indirect, special, incidental, or consequential damages, including loss of business profits, reputational harm, or event cancellation claims arising out of technical outages or AI generation anomalies. The maximum aggregate liability for QlickZ under any claim or concern raised by the client shall be strictly limited to the amount equivalent to the client's unutilized credits balance at the time of the dispute.

5. Intellectual Property

All copyright, trademark, and visual designs inside the kiosk client, dashboard code, and branding assets are owned entirely by QlickZ. You may not reverse-engineer, modify, or resell the packaged software client, or repackage its asar/installation assets without explicit prior written authorization.

6. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of Uttar Pradesh, India, without giving effect to any principles of conflicts of law. Any dispute arising out of or related to these terms shall be subject to the exclusive jurisdiction of the courts located in Ernakulam, Kerala, India.
